What is inside the vault
The asset contains a question bank grouped by data governance, operating continuity, dependency on key people, integrations, reporting, and document quality. These are not questions meant to sound sophisticated. They are built to expose operating gaps.
Each block can be used as an initial filter, as guidance for a second round, or as support to structure follow-up work after reviewing the data room.
How to use it in a real DD
It works best in layers. First, identify quick-read questions that expose obvious gaps. Then prioritize the ones that require evidence, frequency, and an explicit owner. That sequence prevents wasting time on secondary threads too early.
It also helps separate a documentation issue from a structural operating weakness, which are not the same problem and do not affect valuation in the same way.
Where it brings clarity
It brings clarity when the data room contains many files but little context: policies without validity, reports without owners, dashboards without calculation logic, or system maps no one updates.
In those cases, a good question acts as a reality test: if the organization cannot answer with a source and an owner, the risk already exists even if the repository looks tidy.
When not to use it as-is
The full bank should not be used in small or low-complexity transactions. The volume of questions must match the asset type, deal stage, and value-creation focus.
It is also unhelpful when it turns into indiscriminate interrogation. The goal is to distinguish material signals, not create document fatigue.
